These Terms and Conditions ("Terms") govern your access to and use of Hazel's websites, apps, communications, early-access products, and related services (the "Service").
Hazel is operated under the name Hazel. Until a separate legal entity is formed, references to "Hazel," "we," "us," and "our" mean the operator of the Hazel service.
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Hazel's purpose
Hazel is a personal orientation service designed to help people cultivate clarity, alignment, and aliveness through reflection, memory, questions, invitations, and related tools.
Hazel may use AI systems to help provide conversation, reflection, memory, summarization, recommendations, and other features. The Service is intended to support your own attention, judgment, and agency. It is not meant to replace your decisions, relationships, professional advisors, medical care, therapy, or emergency support.
2. Eligibility
You must be at least 13 years old to use Hazel.
If you are under the age of majority where you live, you may use Hazel only with permission from a parent or legal guardian who agrees to these Terms.
By using Hazel, you represent that you meet these eligibility requirements and that your use of the Service is permitted by applicable law.
3. Accounts
You may need an account to use some parts of the Service. You agree to provide accurate account information and keep it up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. If you believe your account has been compromised, contact us promptly.
We may refuse, suspend, or terminate accounts where we reasonably believe the account violates these Terms, creates risk, or is being used unlawfully or abusively.
4. Privacy
Hazel's Privacy Policy explains how we collect, use, share, and protect information. By using the Service, you acknowledge the Privacy Policy.
The Privacy Policy is available at withhazel.ai/privacy.
Hazel includes memory features that may store conversations, summaries, user models, quests, invitations, entities, and other derived understanding. You are responsible for deciding what to share with Hazel, including whether to share sensitive information about yourself or others.
5. User content
"User Content" means messages, reflections, prompts, notes, profile information, feedback, uploaded materials, and other content you submit to Hazel.
You own your User Content, subject to any rights held by others.
You give Hazel a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, analyze, summarize, transform, display, transmit, and otherwise use your User Content as needed to provide, maintain, protect, personalize, and improve the Service. This includes creating summaries, memory records, recommendations, invitations, and other derived outputs from your User Content.
You represent that you have the rights needed to submit User Content and grant this license. Do not submit content that violates the rights, privacy, or safety of others.
6. Hazel content and intellectual property
Hazel and its software, designs, interfaces, prompts, workflows, names, logos, text, graphics, and other materials are owned by Hazel or its licensors and are protected by intellectual property and other laws.
Subject to these Terms, Hazel gives you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.
You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, or create derivative works from the Service except as allowed by law or with our written permission.
7. AI outputs and limitations
Hazel may generate questions, reflections, summaries, recommendations, invitations, or other outputs using AI systems. AI outputs may be incomplete, inaccurate, outdated, inappropriate, or not suitable for your situation.
You are responsible for evaluating Hazel's outputs before relying on them. Hazel does not make decisions for you and does not guarantee any particular outcome, insight, relationship, opportunity, event, or result.
Hazel may generate similar or identical outputs for different users, especially for general questions, prompts, or common situations.
8. Not professional advice or emergency support
Hazel is not a medical provider, therapist, lawyer, financial advisor, spiritual authority, crisis service, or emergency service. The Service does not provide professional advice and should not be used as a substitute for qualified professional care or judgment.
If you are in immediate danger or experiencing an emergency, contact local emergency services or a qualified crisis support resource.
If you are dealing with a medical, mental health, legal, financial, or safety issue, seek help from a qualified professional.
9. Introductions, events, and real-world invitations
Hazel may recommend or facilitate introductions, communities, events, projects, places, or opportunities. These features are intended to support your real-world participation, not guarantee compatibility, safety, availability, or outcomes.
You are responsible for deciding whether to pursue any invitation, introduction, event, or opportunity. Use your own judgment, take appropriate safety precautions, and respect the consent, privacy, and boundaries of others.
Hazel is not responsible for the conduct of users, event hosts, communities, third-party providers, or other people you may encounter through the Service.
10. Acceptable use
You agree not to use Hazel to:
- violate any law or regulation
- infringe or misappropriate anyone's rights
- harass, threaten, abuse, exploit, impersonate, or harm another person
- submit unlawful, defamatory, hateful, sexually exploitative, or otherwise harmful content
- submit private or sensitive information about another person without appropriate permission
- generate, request, or distribute malware, phishing, spam, scams, or deceptive content
- interfere with, disrupt, overload, or compromise the Service or its security
- attempt to access accounts, systems, data, or areas of the Service without authorization
- scrape, crawl, harvest, or extract data except as permitted by us in writing
- use the Service to build, train, or improve a competing product or model without our permission
- bypass usage limits, safety systems, payment systems, or access controls
We may remove content, restrict features, suspend accounts, or take other action if we reasonably believe there has been a violation of these Terms or a risk to users, Hazel, or others.
11. Feedback
If you send ideas, suggestions, comments, bug reports, feature requests, or other feedback, you allow Hazel to use that feedback without restriction or compensation to you.
12. Beta and early-access features
Hazel may offer beta, experimental, preview, or early-access features. These features may change, break, produce unexpected results, or be discontinued at any time.
We may limit access, change functionality, reset data, or stop offering early-access features as Hazel develops.
13. Payments, subscriptions, and cancellations
Some Hazel features or products may require payment. If we offer paid features, we will disclose pricing, billing frequency, renewal terms, cancellation instructions, and any material payment terms before you purchase.
If you buy a subscription, it may automatically renew until you cancel. You authorize Hazel or its payment provider to charge the payment method you provide for recurring fees, taxes, and other disclosed charges.
You may cancel a subscription using the cancellation method made available in the Service or by contacting us at info@withhazel.ai. Cancellation will take effect at the end of the current billing period unless otherwise stated or required by law.
Fees are non-refundable except where required by law or where we expressly state otherwise.
If a free trial or promotional offer converts into a paid subscription, we will disclose the conversion terms before you enroll.
14. Third-party services
Hazel may depend on or link to third-party services, such as hosting providers, authentication providers, AI infrastructure providers, analytics tools, payment processors, app stores, websites, events, communities, or external content.
Third-party services are governed by their own terms and policies. Hazel is not responsible for third-party services, content, actions, availability, or security.
15. App stores
If you download Hazel through an app store or platform, that store or platform may have additional terms that apply to your use of the app. If these Terms conflict with applicable app store terms, the app store terms may control only to the extent required by that store or platform.
16. Changes to the Service
Hazel may change, suspend, or discontinue all or part of the Service at any time. We may also set limits on certain features or restrict access to parts of the Service.
We are not liable for changes, suspensions, or discontinuation of the Service, except where prohibited by law.
17. Termination
You may stop using Hazel at any time. You may also request account deletion as described in the Privacy Policy.
We may suspend or terminate your access to the Service if we reasonably believe you violated these Terms, created risk, caused harm, failed to pay amounts owed, or used the Service unlawfully or abusively.
After termination, provisions that by their nature should survive will survive, including sections about intellectual property, user content licenses, feedback, disclaimers, limitation of liability, indemnity, disputes, and general terms.
18. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, Hazel disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and security.
Hazel does not guarantee that the Service will be uninterrupted, error-free, secure, accurate, or available at any particular time or location.
19. Limitation of liability
To the fullest extent permitted by law, Hazel and its affiliates, service providers, licensors, and personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, service interruption, personal injury, emotional distress, or other intangible losses arising out of or related to your use of the Service.
To the fullest extent permitted by law, Hazel's total liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of the amount you paid Hazel for the Service in the three months before the claim arose or $100.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
20. Indemnity
To the fullest extent permitted by law, you agree to indemnify and hold harmless Hazel and its affiliates, service providers, licensors, and personnel from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
21. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
Before filing a claim, you agree to first contact us at info@withhazel.ai and try to resolve the dispute informally. We will try to resolve the dispute informally by contacting you through the email address associated with your account or the email you provide.
If a dispute cannot be resolved informally, the state and federal courts located in San Diego County, California will have exclusive jurisdiction, except where applicable law requires otherwise. You and Hazel consent to venue and personal jurisdiction in those courts.
22. Changes to these Terms
We may update these Terms from time to time. When we make changes, we will update the "Last updated" date above. If changes are material, we will provide additional notice where appropriate, such as through the Service or by email.
Your continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
23. General terms
These Terms, together with the Privacy Policy and any additional terms presented for specific features, are the entire agreement between you and Hazel regarding the Service.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
Our failure to enforce a provision is not a waiver of our right to do so later.
You may not assign or transfer these Terms without our permission. Hazel may assign these Terms as part of a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
